These Terms & Conditions (“Terms”) govern your access to and use of Drawly’s apps, websites, and related services (collectively, the “Services”) provided by Drawly (“Drawly,” “we,” “us,” “our”). By accessing or using the Services, you agree to these Terms.


If you do not agree, do not use the Services.



1. The Services


Drawly provides creative tools and platforms, which may include:

    •    A drawing app (including creation, editing, and publishing tools),

    •    A social network / community for sharing content and interacting with others,

    •    A video editor, including optional AI-powered features, and

    •    Optional features that let you upload or share content to third-party social networks.


Features may change over time, and some features may be region- or device-dependent.



2. Eligibility and Account


You must be legally able to form a contract where you live to use the Services. If you use the Services on behalf of an organization, you represent you have authority to bind that organization.


Some features require an account. You are responsible for:

    •    Keeping your login credentials secure,

    •    All activity under your account, and

    •    Providing accurate account information.


We may suspend or terminate accounts that violate these Terms or create risk for the Services or other users.



3. User Content and Your Rights


3.1 Your content


“User Content” includes anything you create, upload, post, or share through the Services (e.g., drawings, images, videos, captions, comments, profile info).


You keep ownership of your User Content. These Terms do not transfer ownership of your content to Drawly.


3.2 License you grant to Drawly (to operate the Services)


To run the Services (for example, hosting your posts, displaying them to others, formatting them for different screens, creating backups, and distributing content to your chosen audiences), you grant Drawly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for technical formatting only), display, perform, publish, and distribute your User Content as necessary to provide and improve the Services.


This license ends when you delete your User Content or your account, except:

    •    For content you shared with others that they have not deleted (e.g., reposts or comments),

    •    Where we must retain data for legal/compliance reasons, or

    •    For cached/backup copies that are removed in the ordinary course.


3.3 Community visibility


You control what you share and with whom, using available privacy settings. Content you post publicly may be viewed, shared, or interacted with by others.



4. AI and Content Use Commitments


4.1 Drawings are not used to train AI


Drawly does not use your drawings (including drawings you upload or create in our drawing tools) to train generative AI models.


4.2 AI features in video editing


Some video editing features may use AI (for example, effects, background removal, captions, or enhancements). When you use AI features, content you submit for processing may be analyzed to provide the feature.


Depending on how we implement AI, processing may occur:

    •    On-device, and/or

    •    Via trusted service providers that help deliver the AI functionality.


We do not claim ownership of your content because you use AI features.


Note: Drawly may still use aggregated, de-identified usage data (e.g., feature usage counts, performance metrics) to improve stability and user experience, consistent with our Privacy Policy.



5. Sharing to Third-Party Social Networks


If you choose to upload, share, or cross-post content to third-party social networks or platforms:

    •    You are responsible for complying with that platform’s terms, policies, and community rules.

    •    Drawly is not responsible for how third parties handle or moderate your content.

    •    Third-party services may collect data independently when you connect or use them.


We may require you to connect your account(s) with those third-party platforms to enable cross-posting.



6. Community Rules (Acceptable Use)


You agree not to misuse the Services. For example, you must not:

    •    Break the law or encourage illegal activity,

    •    Post content that is hateful, harassing, threatening, or sexually exploitative,

    •    Share others’ private information without permission (doxxing),

    •    Infringe copyrights, trademarks, or other rights,

    •    Impersonate others or misrepresent affiliations,

    •    Attempt to hack, disrupt, scrape, or overload the Services,

    •    Upload malware or attempt to bypass security measures,

    •    Use the Services to spam or run scams.


We may remove content, restrict reach, suspend features, or terminate accounts for violations.



7. Copyright and IP Complaints


If you believe content on Drawly infringes your intellectual property, you can contact us at: [CONTACT EMAIL] with:

    •    Your name and contact information,

    •    The work you believe is infringed,

    •    Where the allegedly infringing content appears,

    •    A statement that you have a good-faith belief the use is unauthorized.


We may remove or restrict access to content and take action against repeat infringers.



8. Purchases, Subscriptions, and Trials (if applicable)


Some features may be paid (subscriptions, one-time purchases, or trials).

    •    Prices and billing terms will be shown at purchase.

    •    If purchased through Apple/Google or another app store, refunds and billing are handled by that platform’s terms unless required by law.

    •    Trials may convert to paid subscriptions unless canceled before the trial ends.


(If you won’t have payments at launch, you can keep this section or remove it.)



9. Termination


You may stop using the Services at any time and may delete your account if the option is available.


We may suspend or terminate your access if:

    •    You violate these Terms,

    •    We must do so to comply with law, or

    •    Your use creates risk or harm to the Services or others.



10. Disclaimers


The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Drawly disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.


We do not guarantee:

    •    That the Services will be uninterrupted or error-free,

    •    That content will always be available, or

    •    That any specific feature will remain available.



11. Limitation of Liability


To the maximum extent permitted by law, Drawly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill arising from your use of the Services.


Drawly’s total liability for any claim relating to the Services will not exceed the amount you paid to Drawly for the Services in the 12 months before the event giving rise to the claim (or, if you paid nothing, a nominal amount), except where law does not allow such limits.



12. Indemnity


You agree to indemnify and hold harmless Drawly and its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

    •    Your User Content,

    •    Your use of the Services, or

    •    Your violation of these Terms or applicable law.



13. Changes to the Services or Terms


We may update the Services and these Terms from time to time. If changes are material, we will take reasonable steps to notify you (for example, in-app notice). Continued use after the effective date means you accept the updated Terms.



14. Governing Law and Dispute Resolution


These Terms are governed by the laws of [JURISDICTION / COUNTRY], without regard to conflict of laws principles.


Courts located in [CITY/REGION] will have exclusive jurisdiction, unless applicable law requires otherwise.
